Our Team - Alex Calloway

Alex Calloway acts as International Transaction Advisor – UK Counsel at n. dowuona & company.  He is an experienced and innovative transactional lawyer, who advises a broad mix of multinational corporates, private equity funds and other investors on complex and high-value acquisitions and disposals, joint ventures, and other global transactions.

Alex is English law qualified and, prior to joining n.  dowuona & company, he spent 11 years at the international law firm Freshfields Bruckhaus Deringer.  As a member of the Global Transactions team, Alex advised on numerous market-leading cross-border deals, including transactions involving 37 jurisdictions across Africa and some of the most significant global transactions in recent years.  These include Anheuser-Busch InBev’s $120 billion merger with SABMiller, the largest ever UK public takeover and the largest ever M&A transaction in South Africa; Aon’s proposed $30 billion combination with Willis Towers Watson; and the sale by Red and White Securities Limited of its shares in Arsenal plc to an entity wholly owned by Stanley Kroenke. 

In the oil & gas sector, Alex has advised on upstream transactions with a total value of over $65 billion, including assisting Total on its acquisition of Maersk Oil & Gas; Occidental Petroleum with the international aspects of its acquisition of Anadarko, including the related disposals of Anadarko's African assets; and Neptune Energy on its acquisition of ENGIE E&P International.  Alex also has extensive experience with respect to pharmaceuticals and healthcare, including advising Novartis on the separation and subsequent spin-off of the Alcon business; its proposed acquisition of GSK's cephalosporin business; and its portfolio transformation, which involved three inter-conditional transactions with a total value of more than $30 billion: the acquisition of oncology products from GSK, the formation of a new consumer healthcare joint venture with GSK, and the sale to GSK of the Novartis non-flu vaccines division.
